The Panel owns all intellectual property rights in the Site and in all material published on it, including but not limited to the Takeover Code. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You may print, download, copy, save or store extracts from any pages of the Site (the “Extracts”), including the Takeover Code, on the conditions that:

1. the Extracts are for your personal use or for use within an individual firm or organisation;

2. no graphics on the Site are used separately from accompanying text;

3. the Extracts are not distributed, sold or otherwise circulated for profit to third parties;

4. the Extracts are not modified in any way;

5. the source of the Extracts is acknowledged in all copies, either by appropriate words or by adding the Panel copyright symbol (i.e., © The Panel on Takeovers and Mergers); and

6. no Extracts are reproduced or stored in any other website or included in any public or private electronic retrieval system or service without our prior written permission.

The only permitted exception to the general rules stated in 1.2 is where extracts (of no more than a few relevant provisions) are copied to individual third parties incidental to advice or other activities.

If you print, download, copy, share, save or store any part of the Site in breach of this notice, the Panel reserves the right to cease your use of the Site immediately and require you to return or destroy any copies of the materials you have.

Any rights not expressly granted in these terms are reserved.

The Site is made available free of charge.

While we try to ensure that the Site is available 24 hours a day, we will not be liable if, for any reason, the Site is unavailable at any time or for any period.

Access to the Site may be suspended temporarily or permanently and without notice.

We try to ensure that the information on the Site is correct, but we do not give any express or implied warranty as to its accuracy. We do not accept any liability for error or omission.

To the fullest extent permitted by law, we are not liable to you for any damages including, without limitation, for:

1. loss of profits, sales, business or revenue;

2. business interruption;

3. loss of anticipated savings;

4. loss of business opportunity, goodwill or reputation; or

5. any indirect or consequential loss or damage.

In particular we are not liable for any damage arising from the use of or inability to use the Site, or any material contained in it, or from any action or decision taken as a result of using the Site or any such material.

We do not owe you a duty of care during your use of the Site or otherwise.

Whilst we use reasonable endeavours to protect the Site from computer viruses, worms, and Trojan Horses (“Viruses”), we do not warrant that the Site is free from Viruses and accept no liability for any damage that may result from the transmission of any Viruses via the Site or via any files which are available for you to download from the Site.

You may link to the Site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link to the Site in any website that is not owned by you.

We reserve the right to withdraw linking permission without notice.

These terms govern your use of the Site and by accessing any part of the Site you will be deemed to have accepted these terms in full and agreed to be bound by them.

These terms are governed by and interpreted in accordance with English and Welsh Law and the courts of England and Wales will have exclusive jurisdiction over any claim arising from, or relating to, a visit to the Site.
